Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using SellPass ("the Platform," "our Service," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you and SellPass.

If you do not agree to these Terms, you must not access or use our Platform. We reserve the right to modify these Terms at any time, and your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.

2. Description of Service

SellPass is a comprehensive digital platform that enables creators, coaches, influencers, and businesses to create, manage, and sell digital products, online courses, memberships, and other digital content. Our platform provides:

  • Digital Product Management: Create, upload, organize, and manage digital products including ebooks, software, templates, graphics, and multimedia content
  • Course Creation Platform: Build and deliver online courses with video content, quizzes, assignments, and progress tracking
  • Membership Management: Create and manage subscription-based communities and exclusive content areas
  • Payment Processing: Secure payment processing with support for multiple payment methods and currencies
  • Customer Management: Comprehensive CRM tools for managing customer relationships and communication
  • Analytics and Reporting: Detailed analytics on sales, customer behavior, and platform performance
  • Marketing Tools: Email marketing, social media integration, and promotional campaign management
  • Automation Features: Automated workflows for customer onboarding, follow-ups, and content delivery

3. User Accounts and Registration

Account Creation

To access certain features of the Platform, you must create an account by providing accurate, current, and complete information. You must be at least 18 years old to create an account, or have parental consent if between 13-17 years old.

Account Responsibilities

You are solely responsible for:

  • Maintaining the confidentiality and security of your account credentials
  • All activities that occur under your account, whether authorized or not
  • Providing accurate, current, and complete information during registration and keeping it updated
  • Notifying us immediately of any unauthorized use of your account or any other security breach
  • Ensuring your account information remains accurate and up-to-date
  • Using a strong, unique password and enabling two-factor authentication when available

Account Types

  • Individual Accounts: For individual creators and entrepreneurs
  • Business Accounts: For companies and organizations with team management features
  • Enterprise Accounts: For large organizations with custom features and dedicated support

4. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to use the Platform to:

Prohibited Activities

  • Violate any applicable local, state, national, or international law or regulation
  • Infringe upon the intellectual property rights, privacy rights, or other rights of any third party
  • Upload, post, or transmit any content that is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Upload, post, or transmit any content that contains malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to any part of the Platform, other accounts, or computer systems
  • Interfere with or disrupt the Platform's servers or networks
  • Use automated systems or software to extract data from the Platform
  • Engage in any form of spam, phishing, or fraudulent activity
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Collect or harvest personal information of other users
  • Use the Platform for any commercial purpose not expressly permitted by these Terms

Content Standards

All content uploaded to the Platform must:

  • Be original or properly licensed
  • Comply with all applicable laws and regulations
  • Not infringe on any third-party rights
  • Be appropriate for your intended audience
  • Not contain misleading or false information

5. Payment Terms and Billing

Subscription Plans

We offer various subscription plans with different features and pricing. All fees are charged in advance on a monthly or annual basis, as selected during registration.

Payment Processing

  • We accept major credit cards, PayPal, and other payment methods as available
  • All payments are processed securely through our payment partners
  • You authorize us to charge your payment method for all applicable fees
  • Failed payments may result in service suspension or termination

Pricing and Fees

  • Subscription fees are non-refundable except as required by law or as specified in our Refund Policy
  • We reserve the right to change our pricing with 30 days' written notice
  • Transaction fees may apply to certain payment methods
  • Taxes may be added to your subscription fees as required by law

Billing and Invoicing

  • Invoices are generated automatically and sent to your registered email
  • Payment is due immediately upon invoice generation
  • Late payments may incur additional fees
  • You can update your payment information at any time in your account settings

6. Intellectual Property Rights

Your Content

You retain all rights, title, and interest in and to any content you create, upload, or submit to the Platform ("Your Content"). By using our services, you grant us a limited, non-exclusive, royalty-free license to:

  • Host, store, and display Your Content on the Platform
  • Distribute Your Content to your customers as part of our services
  • Create backup copies of Your Content for security purposes
  • Use Your Content for technical support and platform maintenance

Our Content

The Platform and its original content, features, and functionality are owned by SellPass and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Third-Party Content

Some content on the Platform may be owned by third parties. You may not use such content without the express permission of the respective owners.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of information as described in our Privacy Policy.

Data Security

  • We implement industry-standard security measures to protect your data
  • All data transmission is encrypted using SSL/TLS technology
  • We regularly update our security protocols and conduct security audits
  • We comply with applicable data protection laws and regulations

8. Service Availability and Performance

Uptime and Availability

We strive to maintain high service availability but cannot guarantee uninterrupted access. We may experience downtime for maintenance, updates, or due to circumstances beyond our control.

Performance Standards

  • We aim for 99.9% uptime for our core services
  • We monitor our systems continuously and respond to issues promptly
  • We provide status updates during planned maintenance or outages
  • We may implement usage limits to ensure fair access for all users

9. Limitation of Liability

To the maximum extent permitted by applicable law, SellPass and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Loss of goodwill or reputation
  • Business interruption or downtime
  • Cost of substitute goods or services

Our total liability to you for any claims arising from or relating to these Terms or the Platform shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless SellPass and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit, post, or transmit through the Platform

11. Termination

Termination by You

You may terminate your account at any time by following the cancellation process in your account settings or by contacting our support team.

Termination by Us

We may terminate or suspend your account immediately, without prior notice, if you:

  • Violate these Terms or our Acceptable Use Policy
  • Engage in fraudulent or illegal activities
  • Fail to pay applicable fees
  • Pose a security risk to our Platform or other users

Effect of Termination

Upon termination:

  • Your access to the Platform will cease immediately
  • You will remain liable for any outstanding fees
  • We may delete your account and data after 30 days
  • You may export your data before termination

12. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.

Dispute Resolution Process

Before pursuing any legal action, you agree to:

  • First contact us to attempt to resolve the dispute informally
  • Participate in good faith in any mediation or arbitration process we may propose
  • Provide us with a reasonable opportunity to address your concerns

13. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Platform, constitute the entire agreement between you and SellPass regarding the use of the Platform.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Platform. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
